1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of DTSCERP’s cloud-based Enterprise Resource Planning (ERP) platform and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and to comply with all applicable laws and regulations.

If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

• “DTSCERP” refers to the service provider, its affiliates, subsidiaries, employees, contractors, and licensors.

• “User” or “You” means any individual or entity accessing or using the Services.

• “Content” means any data, information, materials, or documents uploaded, generated, or stored on the DTSCERP platform.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. Use of the Services on behalf of a legal entity implies that you have the authority to bind such entity to these Terms.

4. License and Use Restrictions

DTSCERP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.

You agree NOT to:

• Copy, modify, distribute, resell, or create derivative works of the Services.

• Reverse engineer, decompile, or disassemble any part of the platform.

• Use the Services in a manner that violates any law or regulation.

• Use the Services to develop a competing ERP platform.

5. Account Registration and Security

Users are responsible for maintaining the confidentiality of account credentials and for all activities that occur under their account. DTSCERP shall not be liable for any loss or damage resulting from unauthorized access to your account.

6. Intellectual Property

All rights, title, and interest in the Services, including software, designs, logos, trademarks, content, and any associated intellectual property, are and shall remain the exclusive property of DTSCERP.

You acknowledge that:

• You acquire no ownership rights by using the Services.

• Any suggestions, feedback, or recommendations provided by you may be used by DTSCERP without compensation or obligation.

7. Data Usage and Privacy

DTSCERP may collect and use data provided by you in accordance with its [Privacy Policy].

You hereby grant DTSCERP a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, and analyze the data you provide for the sole purpose of delivering and improving the Services.

8. Service Availability and Modifications

DTSCERP does not guarantee uninterrupted or error-free access to the Services. DTSCERP reserves the right to modify, suspend, or discontinue the Services, in whole or in part, at any time, without prior notice or liability.

9. Fees and Payment

Access to certain features of the Services may require payment. All fees are non-refundable unless otherwise stated. DTSCERP reserves the right to revise pricing and billing terms at its sole discretion.

Non-payment may result in suspension or termination of your access to the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DTSCERP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DTSCERP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

DTSCERP’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless DTSCERP and its affiliates from and against all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use or misuse of the Services,

• Your violation of these Terms,

• Any data or content you provide,

• Your violation of any third-party right.

13. Termination

DTSCERP may terminate or suspend your access to the Services at any time, with or without cause, and without liability. Upon termination, your license shall be revoked and all rights granted to you shall cease.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be resolved exclusively by arbitration in Abuja, Nigeria, in accordance with the Arbitration and Conciliation Act.

15. Force Majeure

DTSCERP shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, government actions, or failures of third-party services.

16. Entire Agreement

These Terms constitute the entire agreement between you and DTSCERP regarding the use of the Services and supersede any prior agreements or understandings.

17. Amendments

DTSCERP reserves the right to amend these Terms at any time by posting the revised version on its website. Your continued use of the Services after changes have been posted constitutes your acceptance of the new Terms.
